Strengthening Descartes’ Global Logistics Network

Edward J. Ryan, CEO of Descartes, noted that the addition of Sellercloud complements their existing investments in e-commerce platforms like XPS, ShipRush, pixi, and Peoplevox. Ryan expressed enthusiasm for welcoming Sellercloud’s employees, customers, and partners into the Descartes family, stating, “We continue to listen to our customers for key areas of investment in our Global Logistics Network.” This acquisition is anticipated to create a more comprehensive solution for managing both domestic and cross-border e-commerce shipments.

The acquisition, valued at approximately $110 million, will be financed through Descartes’ cash reserves. Additionally, Sellercloud could receive up to $20 million in performance-based earn-outs contingent upon meeting revenue targets in the first two years following the acquisition. These earn-outs are projected to be paid in fiscal 2026 and fiscal 2027.
